01What these terms cover
These terms apply in two situations: browsing lab47.ca, and hiring Lab 47 for web design, development, SEO or related work. Sections 1 to 3 apply to everyone. Sections 4 onwards apply once you engage Lab 47 for a project.
For a project, these terms are read together with the written quote or proposal you accept (the “Project Agreement”). If the two conflict, the Project Agreement wins. Lab 47 is operated by a sole proprietor in Ontario, Canada; “we” and “I” both mean Lab 47.
02Using this site
The content of this site - text, design, images, code and case studies - belongs to Lab 47 or is used with permission, and is protected by copyright. You may browse it and share links to it. You may not copy the design or content for your own site, scrape it, or use it to train automated systems without written permission.
Client names, logos and screenshots in the Work section are shown with those clients’ agreement. They remain the property of those businesses.
The site is provided as-is. We aim to keep it accurate and available but do not guarantee that it is free of errors or always online. Pricing shown on the site is a starting point and is confirmed in a written quote; it can change without notice until a quote is accepted.
03Contact and consultations
Sending a message through the contact form does not create a contract or an obligation on either side. The initial consultation is free and without obligation. How we handle what you send us is covered by the Privacy Policy.
04Starting a project
A project starts when you accept a written quote and the first payment is received. The quote sets out the package or scope, the price, the number of revision rounds, the estimated timeline, and anything specific to your project.
Timelines are estimates. They depend on receiving your content, feedback and approvals promptly; delays on your side extend the timeline by at least the same amount.
05Pricing and payment
- Fixed price. The price in the accepted quote is the price for the agreed scope. It does not change mid-project.
- 50% to start, 50% at launch. The first half is due before work begins and is non-refundable once work has started. The second half is due when the site is ready to go live. The site launches once it is paid.
- Payment plans can be arranged in the Project Agreement for larger projects.
- Prices are in Canadian dollars and exclude HST, which is added to invoices where applicable.
- Third-party costs - your domain, hosting, premium fonts, stock imagery, paid plugins or services - are separate, are paid by you directly, and are yours.
- Late payment. Invoices are due within 14 days. A flat late fee of $50 is added to any invoice more than 14 days overdue, and work may pause until the account is settled.
06Scope, revisions and changes
Each package includes a set number of revision rounds, stated in the quote. A revision round is one consolidated set of feedback on the current milestone. Changes within the agreed scope are included in those rounds.
A scope change is anything outside the accepted quote: new pages, new features, a change of direction after a design has been approved, or additional revision rounds. Scope changes are quoted in writing and agreed before the work is done. They may extend the timeline.
Approval of a milestone (for example, the design concept) is confirmation to proceed. Revisiting an approved milestone is a scope change.
07What we need from you
- Content - text, images, logo and brand assets - by the dates in the project plan, unless the quote includes content creation.
- Timely feedback and approvals, normally within five business days of each milestone.
- Access to accounts we need to do the work (domain registrar, hosting, analytics), or a willingness to set them up in your name.
- Confirmation that you have the right to use everything you give us. You are responsible for the accuracy and legality of your own content.
If a project stalls for more than 30 days waiting on your side, we may close it. Restarting a closed project may require a new quote, and any work completed to that point is invoiced.
08Ownership
You own the site. On receipt of final payment, you own the design, the code written for your project, and all content you supplied. The domain, hosting and any third-party accounts are registered in your name from the start. You are never locked in and can move the site to another developer at any time.
Two carve-outs: open-source libraries and frameworks used in the build stay under their own licences, and general-purpose tools, snippets and know-how that Lab 47 developed before or outside your project stay Lab 47’s, with a permanent licence for you to use them in your site.
Unless you ask otherwise in writing, Lab 47 may show the finished site in its portfolio and case studies, with your business name and logo, and may place a small “Built by Lab 47” credit in the site footer. Either can be removed on request.
09Launch and support
Every package includes a 30-day post-launch support window for fixing anything that does not work as agreed. This covers bugs and defects, not new requests or content changes.
After 30 days, ongoing maintenance is available under a separate monthly plan. Without one, Lab 47 has no obligation to update, secure or monitor the site, though we are always happy to quote for work.
10SEO and results
Every build follows current technical and structural best practice for search visibility, and where SEO is in scope we do the work described in the quote. But search engines are operated by third parties whose ranking systems change without notice, and your competitors are working too.
No specific ranking, traffic, lead or revenue outcome is guaranteed. Results described in case studies are what those clients achieved and do not promise the same for you. Anyone who guarantees a Google position is not being honest with you.
11Cancellation
You can cancel a project at any time by email. The initial payment is retained. If work completed exceeds what the initial payment covers, the balance for work done to date is invoiced. Any completed deliverables are released to you on payment.
Lab 47 may end a project if payment is overdue, if the project stalls as described above, or if the working relationship breaks down. In that case you are invoiced only for work completed, and completed deliverables are released on payment.
12Liability
Lab 47 will do the work with reasonable skill and care. Beyond that, to the extent permitted by Ontario law, Lab 47 is not liable for indirect or consequential losses - lost profits, lost data, lost business, or damage arising from downtime, third-party services, or your own content. Our total liability for any project is limited to the amount you paid for that project.
You agree to cover Lab 47 against claims arising from content you supplied or from your use of the site in breach of any law or third-party right.
13General
- These terms are governed by the laws of Ontario and Canada. Disputes are handled in the courts of Ontario, after a good-faith attempt to resolve them directly.
- If any part of these terms is found unenforceable, the rest still applies.
- We may update these terms. The version in force for a project is the one current when you accepted the quote.
